PLEASE READ THE FOLLOWING TERMS OF USE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

Overview

This Terms of Service Agreement (this "Agreement") is entered into by and between CNM.COM, and you, and is effective as of the date you use this website ("Site") or the date you accept it electronically. This Agreement outlines the general terms and conditions of your use of the Site and the products and services accessed or purchased through this Site (individually and collectively, the "Services"). Any additional agreements, arrangements, and/or policies that apply to specific Services ("Services Agreements") are supplementary to this Agreement. In case of a conflict between the terms of a Services Agreement and this Agreement, the terms of the applicable Services Agreement will prevail.

The terms "we", "us", or "our" refer to CNM.COM. The terms "you", "your", "User", or "customer" refer to any individual or entity who accepts this Agreement, accesses your account, or uses the Site or Services. This Agreement does not confer any third-party rights or benefits.

Modification of agreement, site or services

CNM.COM reserves the right to alter or update this Agreement, along with any incorporated policies or agreements, at any time and at its sole discretion. Such changes will take effect immediately upon being posted on this Site. By continuing to use this Site or its Services after any modifications have been made, you agree to the revised terms of this Agreement. If you do not agree to these updated terms, please discontinue using this Site and its Services. CNM.COM may also inform you of changes to this Agreement via email, so it is crucial to keep your account information current. CNM.COM is not responsible for any failure to receive email notifications due to incorrect email addresses. Additionally, CNM.COM may terminate your access to the Services if you violate any terms of this Agreement. CNM.COM RETAINS THE RIGHT TO MODIFY, ALTER, OR DISCONTINUE ANY PART OF THIS SITE OR THE SERVICES, INCLUDING PRICES AND FEES, AT ANY TIME.

Eligibility; authority

This Site and its Services are exclusively available to individuals or entities ("Users") capable of entering into legally binding contracts under applicable law. By using this Site or the Services, you confirm and warrant that you: (i) are at least eighteen (18) years old, (ii) possess the legal capacity to enter into binding contracts under applicable law, and/or (iii) are not restricted from accessing the Services under the laws of the United States or any other relevant jurisdiction.

If you are agreeing to this Agreement on behalf of a corporate entity, you affirm and warrant that you have the legal authority to bind the entity to the terms and conditions stated herein. In such instances, the terms "you", "your", "User", or "customer" shall refer to the corporate entity. Should it be discovered after your electronic acceptance of this Agreement that you lacked the authority to bind the corporate entity, you will assume personal responsibility for the obligations outlined in this Agreement, including payment obligations. CNM.COM assumes no liability for any losses or damages resulting from its reliance on any instruction, notice, document, or communication reasonably believed by CNM.COM to be genuine and originating from an authorized representative of your corporate entity. In cases where there is reasonable doubt about the authenticity of such instruction, notice, document, or communication, CNM.COM reserves the right (though it is not obliged) to request additional authentication from you. You also agree to be bound by the terms of this Agreement for transactions conducted by you, any agent acting on your behalf, or anyone using your account or the Services, regardless of authorization.

Your account

An Account may be created for you automatically when you make a purchase, or you may create one manually to access certain features of this Site or Services. You affirm and warrant to CNM.COM that all information associated with your Account (whether provided by you during manual creation or collected during purchase) is accurate, up-to-date, and complete, and that you will maintain the accuracy, currency, and completeness of your Account information. If CNM.COM has reason to believe that your Account information is false, inaccurate, outdated, or incomplete, CNM.COM reserves the right, in its sole discretion, to suspend or terminate your Account. You are solely responsible for all activities that occur under your Account, whether authorized by you or not, and you must ensure the security of your Account information, including your customer number/login, password, Payment Method(s) (as defined below). You must promptly notify CNM.COM of any security breach or unauthorized use of your Account. CNM.COM will not be liable for any losses incurred due to unauthorized use of your Account. However, you may be liable for any losses CNM.COM or others incur due to activities on your Account, whether by you, an authorized person, or an unauthorized person.

General rules of conduct

You acknowledge and agree that:

  1. Your use of this Site and the Services, including any content you submit, will comply with this Agreement, any applicable Services Agreement or policy that may apply to your Services, and all applicable local, state, national, and international laws, rules, and regulations.
  2. You will not collect or harvest (or permit anyone else to collect or harvest) any non-public or personally identifiable information about another User or any other person or entity without their express prior written consent.
  3. You will not use this Site or the Services in a manner (as determined by CNM.COM in its sole and absolute discretion) that:
    • Is illegal or promotes or encourages illegal activity;
    • Promotes, encourages, or engages in the exploitation of children, or any activity related to the proliferation of child sexual abuse material (CSAM);
    • Promotes, encourages, or engages in terrorism, violence against people, animals, or property;
    • Promotes, encourages, or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking;
    • Violates the Ryan Haight Online Pharmacy Consumer Protection Act of 2008 or similar legislation, or promotes, encourages, or engages in the sale or distribution of prescription medication without a valid prescription;
    • Violates the Fight Online Sex Trafficking Act of 2017 or similar legislation, or promotes or facilitates prostitution and/or sex trafficking;
    • Infringes on the intellectual property rights of another User or any other person or entity;
    • Violates the privacy or publicity rights of another User or any other person or entity, or breaches any duty of confidentiality that you owe to another User or any other person or entity;
    • Interferes with the operation of this Site or the Services found at this Site;
    • Contains or installs any viruses, worms, bugs, Trojan horses, or other code, files, or programs designed to disrupt, damage, or limit the functionality of any software or hardware; or
    • Contains false or deceptive language, or unsubstantiated or comparative claims, regarding CNM.COM or CNM.COM’s Services.
  4. You will not perform any false, abusive, or fraudulent activity. You will not perform any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure.
  5. You will not copy or distribute in any medium any part of this Site or the Services, except where expressly authorized by CNM.COM.
  6. You will not modify or alter any part of this Site, or the Services found at this Site or any of its related technologies.
  7. You will not access CNM.COM Content through any technology or means other than through this Site itself, or as CNM.COM may designate.
  8. You will not resell or provide the Services for a commercial purpose, including any of CNM.COM's related technologies, without CNM.COM's express prior written consent.
  9. You will not circumvent, disable, or otherwise interfere with the security-related features of this Site or the Services found at this Site (including without limitation those features that prevent or restrict use or copying of any CNM.COM Content) or enforce limitations on the use of this Site or the Services found at this Site or the CNM.COM Content.
  10. You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.
  11. You are aware that CNM.COM may from time-to-time call you about your account, and that, for the purposes of any and all such call(s), you may be subject to call recording and hereby consent to the same, subject to any applicable laws and our restrictions and obligations thereunder, including, where permissible, to record the entirety of such calls regardless of whether CNM.COM asks you on any particular call for consent to record such call. You further acknowledge and agree that, to the extent permitted by applicable law, any such recording(s) may be submitted as evidence in any legal proceeding in which CNM.COM is a party. Further, by providing your telephone number, you consent to receive service calls from CNM.COM about your account and transactions. If you separately opt in to text messages, the SMS Terms section of this Agreement applies. You understand that providing consent is not a condition of purchasing any good or service from CNM.COM. Message and data rates may apply.
  12. Without limiting any of the rights set forth elsewhere in this Agreement, CNM.COM expressly reserves the right to deny, cancel, terminate, suspend, or limit future access to this Site or any Services (including but not limited to the right to cancel or transfer any domain name registration) to any User (i) whose Account or Services were previously terminated or suspended, whether due to breach of this or any other Agreement or any CNM.COM policy, or (ii) who otherwise engages or has engaged in inappropriate or unlawful activity while utilizing the Site or Services (as determined by CNM.COM in its sole and absolute discretion).
  13. If your purchase or account activity shows signs of fraud, abuse, or suspicious activity, CNM.COM may cancel any service associated with your name, email address, or account and close any associated CNM.COM accounts. If CNM.COM, in its sole discretion, determines that any conducted activity is fraudulent, CNM.COM reserves the right to take any necessary legal action and you may be liable for monetary losses to CNM.COM including litigation costs and damages. To contest cancellation of Services or freezing or closure of an account, please contact customer support.
  14. In case of violations or suspected violations of any of the above provisions, CNM.COM is entitled to take (in its sole discretion) any such measures it considers necessary, including (but not limited to) the removal or cancellation of the domain name offering, denial or suspension of access to you and/or relaying contact details (including personal data) to authorized third parties, including rights owners and law enforcement. Additionally, CNM.COM reserves the right to take such measures if any act, conduct, transaction, omission, or misrepresentation exposes CNM.COM to sanctions, restrictions, or penalties, or upon receipt of any subpoena, order, or request from any government, government official, or law enforcement authority of competent jurisdiction.

SMS Terms (Text Messaging Program)

CNM.COM (operated by Company Names Marketplace LLC) offers a transactional text messaging program for order and support communications: payment confirmations, domain transfer and delivery updates, and replies to your inquiries.

  • Opt-in: You opt in by checking the SMS consent box during checkout after providing your mobile number, or by sending a text message to us first. Consent is not a condition of any purchase.
  • Message frequency: Message frequency varies based on your transactions and inquiries.
  • Fees: Message and data rates may apply. Check with your mobile carrier for details.
  • Opt-out: You can cancel the SMS service at any time by replying STOP. After you send STOP, we will send a message to confirm that you have been unsubscribed, and no further messages will be sent. To rejoin, reply START or opt in again during a future checkout.
  • Help: If you experience issues with the messaging program, reply HELP for assistance, or contact us directly at [email protected].
  • Carriers: Carriers are not liable for delayed or undelivered messages.
  • Privacy: Mobile information is handled as described in our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes; text messaging originator opt-in data and consent will not be shared with any third parties.

Marketplace, Escrow, and Third-Party Sales

CNM.COM as Marketplace and Escrow Agent:

CNM.COM operates as a domain name marketplace that facilitates transactions between third-party domain sellers ("Sellers") and buyers ("Buyers" or "you"). CNM.COM acts as an escrow agent to secure the domain during the transaction and payment process. CNM.COM does not own the domains listed by Sellers.

Payment Authorization and Capture Process:

When you purchase a domain, CNM.COM authorizes (but does NOT immediately charge) the payment amount. The authorization places a temporary hold for up to seven (7) days. CNM.COM will only capture (charge) the payment after the domain has been delivered to CNM.COM's escrow/holding registrar account(s).

Escrow Process:

  1. Purchase Authorization: CNM.COM authorizes the first payment (7-day hold)
  2. Seller Delivers (7-Day Window): Seller transfers domain to CNM.COM's escrow
  3. Payment Captured: Once domain is in escrow, payment is charged
  4. Payout to Seller: Seller receives payment (minus commission/fees)
  5. CNM.COM Holds Ownership: CNM.COM holds legal ownership during payment period
  6. Buyer Usage Rights: You may use domain during payment period
  7. Transfer to Buyer: After final payment, domain transfers to you
  8. Default - Return to Seller: If you default, domain returns to Seller

Seller Failure to Deliver:

If Seller fails to deliver within 7 days: Authorization expires automatically, NO charge to your payment method, transaction cancelled, no refund needed, and Seller receives no payment.

Subsequent Installments (Payment Plans):

After initial payment is captured, all future monthly installments are charged immediately when due (no authorization hold).

Payment Distribution to Sellers:

For Payment Plans, Sellers receive each monthly payment as it's made (minus commission/fees). If you default after several payments, Seller keeps those payments. You forfeit all payments upon default.

Buyer Protection:

You are never charged until domain is secured in escrow. If Seller fails to deliver within 7 days, you are not charged.

CNM.COM's Role and Limitations:

  1. Limited Control: CNM.COM does not own or control Seller domains. CNM.COM screens Sellers but makes NO warranties regarding domain quality, value, trademark status, or legal ownership.
  2. No Availability Guarantee: Domain may become unavailable after purchase. If unavailable, no charge (if authorization not captured) or full refund (if captured).
  3. Trademark Disputes: YOU are responsible for trademark due diligence. If domain infringes trademarks or is subject to UDRP/legal disputes: For Payment Plans, CNM.COM refunds payments not yet distributed to Seller (minus commission/fees/usage value). For Buy Outright, no refund if already transferred—you resolve disputes.
  4. No Liability for Sellers: CNM.COM not liable for Seller failures, misrepresentations, fraud, delays, or disputes.
  5. Registrar Dependencies: Transfer timelines/procedures governed by ICANN and registrar policies. CNM.COM has no control over registrars.

Seller Cooperation:

Sellers must deliver domains to escrow within 7 days, provide auth codes and documentation, respond to CNM.COM within 24 hours, and accept domain returns on Buyer default. If Seller fails to cooperate, CNM.COM may withhold future payments, suspend/terminate Seller account, deduct damages from pending payments, or take legal action.

Payment Terms and Installment Plans

Installment Payment Plans:

  1. Plan Structure: Monthly installments as specified at purchase (maximum 12 months)
  2. Equal Payments: All monthly payments are equal amounts, calculated by dividing the total amount (domain price + $15 renewal fee) by the number of months selected.
  3. APR: All payment plans have 0% APR. No interest is charged on any payment plan.
  4. Renewal Fee: Payment plans include a flat $15 renewal fee to cover domain registration costs during the payment period. This fee is distributed equally across all monthly payments.
  5. Payment Authorization: You authorize automatic monthly charges to your payment method on file for the agreed installment amount until the plan is completed.
  6. Payment Method: You must maintain a valid payment method on file for the entire payment plan duration.
  7. Payment Date: Payments charged on or around the same day each month (or last day if month is shorter).
  8. Payment Failure: Up to 3 retry attempts over 7 days if payment fails. You will be notified via email.
  9. No Changes: Existing payment plans not affected by future term changes.

Buy Outright:

Full price authorized immediately, captured after domain delivered to escrow (within 7 days). If domain not delivered within 7 days, authorization expires with no charge.

Payment Processing:

All payments processed through Stripe, Inc. By making a payment, you agree to Stripe's terms of service and privacy policy. Charges in USD.

Domain Purchase and Ownership Transfer

During Payment Plans:

  1. CNM.COM Owns: Legal ownership stays with CNM.COM (or its designated holding entity) until final payment is completed.
  2. Your Usage Rights: You may point domain to hosting, configure DNS records, and use for lawful purposes during the payment period.
  3. Restrictions: You cannot transfer to another registrar, sell, or change registrant information until all payments are completed.
  4. Transfer After Final Payment: CNM.COM initiates ownership transfer within 5 business days of final payment completion.
  5. Buy Outright: Transfer begins immediately after payment is captured (typically 24-72 hours processing time).
  6. Renewals: Domain renewals included in payment plans. After ownership transfer, you are responsible for all future renewals.
  7. ICANN 60-Day Transfer Lock: Upon ownership transfer (registrant change from CNM.COM to you), the domain may be subject to a 60-day transfer lock imposed by the registrar per ICANN regulations. Whether this lock is applied depends on the registrar's policies. During any lock period, you cannot transfer the domain to another registrar but retain full usage rights and DNS control. CNM.COM does not control whether the lock is imposed and cannot guarantee it can be waived.
  8. Transfer Timing: Actual transfer completion depends on registrar processing times and your response to verification requests (24 hours to 14 days).

Your Obligations:

To facilitate ownership transfer, you must provide accurate registrant contact information, respond promptly to registrar verification emails, and comply with ICANN regulations and registry policies.

Cancellation, Refunds, and Early Payoff

30-Day Cancellation Period:

You may cancel a payment plan within 30 days of initial payment capture by emailing [email protected] with your order number and domain name.

Refund Limitations:

IMPORTANT: Due to progressive seller payouts, most cancellations result in $0 refund even within 30 days because: (i) Seller already received payment (non-refundable), (ii) CNM.COM commission is non-refundable, (iii) $50 administrative fee applies, and (iv) registry costs are deducted.

Example: $500 initial payment → Seller receives $400 → Commission $100 → Admin fee $50 = $0 refund available. You should assume cancellations will result in no refund.

Active Use: If you actively use the domain (configure DNS, hosting, email, or publish website), any refund right is waived.

After 30 Days:

No refunds. Cancellation results in: future payments stopped, access terminated, domain returned to Seller, and all payments forfeited.

Early Payoff:

You may pay off remaining balance at any time by contacting [email protected] for a payoff quote. No prepayment penalty. Quote valid for 7 days. Ownership transfer initiated immediately after early payoff payment received.

CNM.COM Cancellation:

CNM.COM may cancel any payment plan for breach of this Agreement, fraud, suspicious activity, legal disputes affecting the domain, or repeated payment failures.

Buy Outright Refunds:

Final and non-refundable after transfer initiated, except where domain unavailable due to CNM.COM/Seller error (full refund).

Payment Default and Collection

You Are In Default If:

  1. Payment fails after all retries (3 attempts over 7 days)
  2. Payment method becomes invalid and no replacement provided within 7 days
  3. You initiate an unauthorized chargeback without first contacting CNM.COM
  4. You breach any material term of this Agreement
  5. Fraudulent activity is detected

Consequences of Default:

Upon default, CNM.COM may: (i) immediately suspend domain access, (ii) cancel payment plan, (iii) return domain to Seller, (iv) forfeit all payments made (no refunds or credits), (v) terminate your account, (vi) pursue collection efforts, and (vii) assess late fees up to $25 or maximum allowed by law.

Grace Period (Optional):

CNM.COM may (but is not obligated to) provide up to 15 days to cure default by paying past-due amounts, updating payment method, and paying any late fees.

Legal Fees and Collection Costs:

If CNM.COM engages legal counsel or collection agencies, you agree to reimburse all reasonable costs incurred (attorneys' fees, court costs, collection fees) to the extent permitted by law.

No Waiver:

CNM.COM's failure to exercise any right upon default does not waive CNM.COM's right to enforce such rights in the future.

Dispute Resolution and Arbitration

Informal Dispute Resolution:

Before initiating formal dispute resolution, you agree to first contact CNM.COM at [email protected] to attempt informal resolution. Provide detailed description, proposed resolution, and supporting documentation. CNM.COM will respond within 10 business days.

Binding Arbitration:

If informal resolution cannot be reached within 30 days, you and CNM.COM agree that any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved exclusively through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) or AAA (American Arbitration Association).

  1. Location: Delaware, USA (or phone/video for claims ≤$10,000)
  2. Arbitration Fees: CNM.COM pays filing fee for claims ≤$10,000. Each party pays own attorneys' fees.
  3. CLASS ACTION WAIVER: YOU AND CNM.COM AGREE THAT DISPUTES MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION. The arbitrator may not consolidate claims or preside over any class, representative, or collective proceeding.
  4. Exceptions: Either party may bring individual action in small claims court or seek injunctive relief for intellectual property infringement.
  5. Opt-Out Right: You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first accepting this Agreement. Your opt-out notice must include your full name, email address, and clear statement that you wish to opt out.

Governing Law:

This arbitration provision is governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16). The arbitrator shall apply the substantive law of Delaware (excluding conflicts of law principles).

Survival:

This arbitration provision survives termination of this Agreement and your relationship with CNM.COM.

Chargeback and Payment Dispute Policy

Contact CNM.COM First:

By agreeing to this Agreement and authorizing payment, you agree to contact CNM.COM directly at [email protected] to resolve any billing disputes, payment errors, or service issues BEFORE initiating a chargeback, payment reversal, or dispute with your payment card issuer or financial institution.

Consequences of Unauthorized Chargebacks:

If you initiate a chargeback or payment dispute without first attempting to resolve the issue with CNM.COM: (i) your account and all services will be immediately suspended, (ii) if chargeback relates to domain purchase, your access and usage rights will be immediately suspended, (iii) CNM.COM may terminate your account permanently, (iv) all payments made will be forfeited and you will lose all rights to the domain (for payment plans), (v) CNM.COM may pursue collection of amounts owed including chargeback fees, and (vi) CNM.COM may report fraudulent chargebacks to credit reporting agencies, fraud databases, and other merchants.

Valid Chargebacks:

CNM.COM will not take action against you for chargebacks if: (i) you first contacted CNM.COM and CNM.COM failed to respond within 10 business days, or (ii) the charge was unauthorized or fraudulent and not made by you or anyone authorized by you.

Chargeback Fees:

If you initiate a chargeback that is later found to be invalid, unjustified, or fraudulent, you agree to reimburse CNM.COM for all chargeback fees, processing fees, and administrative costs incurred, in addition to the original transaction amount and any legal fees.

Fraudulent Chargebacks:

CNM.COM treats fraudulent chargebacks as fraud. If CNM.COM determines a chargeback was initiated fraudulently, based on false claims, or as "friendly fraud," CNM.COM may: (i) report to law enforcement, (ii) pursue civil and criminal legal action, (iii) report to fraud prevention databases, and (iv) seek full damages including legal fees.

Dispute Resolution Process:

If you have a legitimate dispute: (i) contact [email protected] within 7 days with detailed description, (ii) CNM.COM investigates and responds within 5 business days, (iii) if CNM.COM agrees charge was in error, refund or credit will be issued, (iv) if you disagree with resolution, follow dispute resolution process outlined in "Dispute Resolution and Arbitration" section.

CNM.COM Commission and Fees

Commission Structure:

CNM.COM charges a commission on all domain sales facilitated through the marketplace. The commission is deducted from each payment before distribution to Sellers. The applicable rate is determined at the time of the transaction based on the nameservers active on the listing at the time of purchase:

  • 5% commission — listings using CNM.COM nameservers at the time of purchase.
  • 10% commission — listings using any external (non-CNM.COM) nameservers at the time of purchase.

These rates reflect the degree to which CNM.COM's platform infrastructure supports the listing. Commission rates are locked at the time of transaction and cannot be changed retroactively. CNM.COM reserves the right to offer adjusted rates on a per-seller basis by separate written agreement.

Transaction Fees:

In addition to commission, CNM.COM may deduct transaction fees, payment processing fees (Stripe), chargeback fees, domain transfer fees, and other costs incurred. These fees are deducted before distributing payments to Sellers.

Non-Refundable:

All CNM.COM commissions and fees are non-refundable, even if you cancel your purchase, default on a payment plan, or request a refund for any reason. CNM.COM earns its commission by facilitating the transaction, providing escrow services, and managing payment plans, regardless of whether the transaction ultimately completes.

Important Notices for Buyers

Understand These Key Points Before Purchasing:

  1. No Refunds in Most Cases: Due to progressive Seller payouts, cancellations usually result in $0 refund even within 30 days.
  2. Payments Forfeited on Default: If you default after making several payments, you lose all payments made AND the domain. Seller keeps all payments already received.
  3. Authorization-Hold Protection: You are NOT charged until domain is in escrow. This protects you from Seller non-delivery.
  4. Maintain Valid Payment Method: You must keep payment method current for entire payment plan. Expired cards trigger default.
  5. 0% APR on All Plans: All payment plans have 0% APR (no interest charges). The only additional cost is a $15 renewal fee distributed across your payments.
  6. Equal Monthly Payments: All monthly payments are equal amounts. There are no variable payments or balloon payments.
  7. Maximum 12 Months: Payment plans are available for 2-12 months maximum.
  8. 60-Day Lock After Transfer: After final payment, domain may have 60-day registrar lock preventing transfer to another registrar.
  9. You Don't Own Until Final Payment: CNM.COM owns the domain until all payments complete. If you default, you lose everything paid.
  10. Seller Gets Paid Progressively: Each monthly payment goes to Seller (minus fees). These are non-refundable.
  11. Contact CNM.COM Before Chargeback: Initiating unauthorized chargeback results in immediate account termination and forfeiture.
  12. Early Payoff Option: No prepayment penalty. You can pay off the remaining balance at any time.

Protection of your data

CNM.COM offers certain Services available to you that may involve the submission, collection, and/or use of personally identifying or identifiable information about you and your own customers (“Your Data”) in the course of your use of these Services, including without limitation domain name registration and web hosting services (“Covered Services”). Seller Analytics Data

For Domain Listing Owners (Sellers):

As a Seller, you have access to analytics data for your domain listings through the CNM.COM Seller Dashboard. By listing domains on CNM.COM, you agree to the following terms regarding analytics:

Data You Receive:

  • Number of views, search impressions, clicks, and checkout visits for your listings
  • Visitor country (country code only)
  • Bot vs. human visitor classification
  • New vs. returning visitor status
  • Event timestamps

Data You Do NOT Receive:

  • Visitor IP addresses
  • Device or browser information
  • Any personally identifiable information about visitors

Your Obligations:

  • Use analytics data solely for improving your listings and understanding buyer interest
  • Do not attempt to identify individual visitors or correlate analytics data with personal information
  • Do not share raw analytics data publicly or with third parties
  • Acknowledge that analytics data is provided "as-is" without guarantees of accuracy or completeness

Data Retention: Analytics data for your listings is retained for 30 days and then automatically deleted.

Modifications: CNM.COM reserves the right to modify, limit, or discontinue analytics features at any time without notice.

Availability of website/services

Subject to the terms and conditions of this Agreement, along with our other policies and procedures, we will make commercially reasonable efforts to provide access to this Site and the Services on a continuous, twenty-four (24) hours a day, seven (7) days a week basis. However, you acknowledge and agree that there may be instances when this Site becomes inaccessible or inoperable for various reasons. These reasons may include, but are not limited to, equipment malfunctions, scheduled maintenance, repairs or replacements we may perform, or events beyond our control. Such events could include interruptions or failures in telecommunication or digital transmission links, hostile network attacks, network congestion, or other unforeseen failures. You further acknowledge and agree that we do not have control over the continuous or uninterrupted availability of this Site or the Services and that we accept no liability to you or any other party regarding any interruptions or inaccessibility.

Account termination policy

Termination by CNM.COM: CNM.COM reserves the right to suspend or terminate your Account and access to this Site or the Services at any time, without prior notice, if you violate this Agreement or engage in fraudulent, abusive, or illegal activity. CNM.COM may also terminate access if there is reason to believe you are a repeat offender of any policies or terms.

Account Deletion by You: You may request deletion of your account at any time through Settings → Delete Account in your dashboard. Upon requesting deletion:

  • You will receive a confirmation email and must confirm the request within 24 hours
  • Your account will be processed for deletion within 24 hours of confirmation
  • Your personal information will be permanently removed from our systems
  • Transaction records will be anonymized (not deleted) for legal and tax compliance

Restrictions on Account Deletion: You cannot delete your account if you have:

  • Active payment plans with remaining installments
  • Pending transactions or domains under escrow
  • Active domain listings (you must deactivate all listings first)

These restrictions protect both buyers and sellers from incomplete transactions. You must resolve all active obligations before deleting your account.

Additional reservations of rights

CNM.COM explicitly reserves the right to deny, cancel, terminate, suspend, lock, or modify access to (or control of) any Account or Services, including the ability to cancel or transfer any domain name registration, for any reason as determined by CNM.COM at its sole and absolute discretion. This includes but is not limited to the following:

  • correcting errors made by CNM.COM in offering or delivering any Services, including domain name registrations,
  • protecting the integrity and stability of, and correcting errors related to, any domain name registry or registrar,
  • assisting in our fraud and abuse detection and prevention efforts,
  • complying with court orders against you or your domain name, as well as applicable local, state, national, and international laws, rules, and regulations,
  • complying with requests from law enforcement, including subpoena requests,
  • adhering to any dispute resolution process,
  • defending any legal action or threatened legal action, regardless of whether it is ultimately found to be with or without merit,
  • avoiding any civil or criminal liability on the part of CNM.COM, its officers, directors, employees, and agents, as well as CNM.COM's affiliates, particularly in cases where you have sued or threatened to sue CNM.COM,
  • responding to an excessive number of complaints related to your Account or domain name(s) that could potentially harm CNM.COM’s business, operations, reputation, or shareholders.

CNM.COM also expressly reserves the right to terminate, without notice, any and all Services if, in CNM.COM's sole discretion, you are found to be harassing or threatening CNM.COM and/or any of CNM.COM's employees.

CNM.COM Content. The content on this Site and the Services—including but not limited to text, software, scripts, source code, API, graphics, photos, sounds, music, videos, interactive features, and the trademarks, service marks, and logos contained therein (“CNM.COM Content”)—is owned by or licensed to CNM.COM in perpetuity. This content is protected by copyright, trademark, and/or patent laws in the United States and other countries, as well as other intellectual property rights under United States and foreign laws. CNM.COM Content is provided to you “as is,” “as available,” and “with all faults” for your information and personal, non-commercial use only. It may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purpose without the express prior written consent of CNM.COM. No rights or licenses under any copyright, trademark, patent, or other proprietary right or license are granted by this Agreement. CNM.COM reserves all rights not explicitly granted in and to the CNM.COM Content, this Site, and the Services, and this Agreement does not transfer ownership of any of these rights.

Disclaimer of Warranties

You specifically acknowledge and agree that your use of this site and the services found at this site shall be at your own risk and that this site and the services found at this site are provided “as is”, “as available” and “with all faults”. CNM.COM, its officers, directors, employees, agents, and all third-party service providers disclaim all warranties, statutory, express or implied, including, but not limited to, any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. CNM.COM, its officers, directors, employees, and agents make no representations or warranties about (i) the accuracy, completeness, or content of this site, (ii) the accuracy, completeness, or content of any sites linked (through hyperlinks, banner advertising or otherwise) to this site, and/or (iii) the services found at this site or any sites linked (through hyperlinks, banner advertising or otherwise) to this site, and CNM.COM assumes no liability or responsibility for the same.

In addition, you specifically acknowledge and agree that no oral or written information or advice provided by CNM.COM, its officers, directors, employees, agents (representatives), and third-party service providers will (i) constitute legal or financial advice or (ii) create a warranty of any kind with respect to this site or the services found at this site, and users should not rely on any such information or advice. The foregoing disclaimer of representations and warranties shall apply to the fullest extent permitted by law, and shall survive any termination or expiration of this agreement or your use of this site or the services found at this site.

Limitation of liability

In no event shall CNM.COM, its officers, directors, employees, agents, and all third-party service providers, be liable to you or any other person or entity for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever, including any that may result from (i) the accuracy, completeness, or content of this site, (ii) the accuracy, completeness, or content of any sites linked (through hyperlinks, banner advertising or otherwise) to this site, (iii) the services found at this site or any sites linked (through hyperlinks, banner advertising or otherwise) to this site, (iv) personal injury or property damage of any nature whatsoever, (v) third-party conduct of any nature whatsoever, (vi) any unauthorized access to or use of our servers and/or any and all content, personal information, financial information or other information and data stored therein, (vii) any interruption or cessation of services to or from this site or any sites linked (through hyperlinks, banner advertising or otherwise) to this site, (viii) any viruses, worms, bugs, trojan horses, or the like, which may be transmitted to or from this site or any sites linked (through hyperlinks, banner advertising or otherwise) to this site, (ix) any user content or content that is defamatory, harassing, abusive, harmful to minors or any protected class, pornographic, “x-rated”, obscene or otherwise objectionable, and/or (x) any loss or damage of any kind incurred as a result of your use of this site or the services found at this site, whether based on warranty, contract, tort, or any other legal or equitable theory, and whether or not CNM.COM is advised of the possibility of such damages.

Indemnity

You agree to defend, indemnify, and hold harmless CNM.COM, including its officers, directors, employees, agents, and third-party service providers, from any and all claims, demands, costs, expenses, losses, liabilities, and damages (including reasonable attorneys' fees) that arise directly or indirectly from: (i) your use of or access to this site or its services; (ii) your breach of any terms of this agreement or any related policies or agreements; or (iii) any infringement of third-party rights, such as intellectual property or other proprietary rights. These indemnification obligations will continue even after the termination or expiration of this agreement or your use of this site or its services.

Compliance with local laws

CNM.COM makes no representation or warranty that the content available on this site or the services offered here are suitable for every country or jurisdiction. Access to this site or its services from locations where such content is illegal is prohibited. Users who choose to access this site or its services are responsible for ensuring compliance with all applicable local laws, rules, and regulations.

Applicable law and jurisdiction

This Agreement, along with any Service Terms, is governed by the laws of the State of Delaware, USA. Any disputes arising from or related to this Agreement or any associated agreement shall be exclusively submitted to the competent courts located in Delaware, USA.

Successors and assigns

This Agreement will be binding on and benefit both the parties involved and their respective heirs, successors, and assigns.

No third party beneficiaries

Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.

U.S. export laws

This Site and Services are subject to the export laws, restrictions, regulations, and administrative acts of the United States Department of Commerce, Department of Treasury Office of Foreign Assets Control (“OFAC”), State Department, and other United States authorities (collectively, “U.S. Export Laws”). Users shall not use the Services to collect, store, or transmit any technical information or data that is controlled under U.S. Export Laws. Users shall not export or re-export, or allow the export or re-export of, the Services found at this Site in violation of any U.S. Export Laws. None of the Services found at this Site may be downloaded or otherwise exported or re-exported (i) into (or to a national or resident of) any country with which the United States has embargoed trade; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Denied Persons List, or any other denied parties lists under U.S. Export Laws. By using this Site and Services found at this Site, you agree to the foregoing and represent and warrant that you are not a national or resident of, located in, or under the control of, any restricted country; and you are not on any denied parties list; and you agree to comply with all U.S. Export Laws (including “anti-boycott,” “deemed export,” and “deemed re-export” regulations). Force majeure

CNM.COM shall not be liable for any delay or failure to perform any obligation under this Agreement to the extent such delay or failure is caused by factors beyond CNM.COM’s reasonable control (“Force Majeure”). Such factors include, but are not limited to, acts of God; labor disputes or other industrial disturbances; electrical or power outages; failures in utilities or telecommunications; destruction or significant damage to facilities such as factories, colocation centers, or headquarters; natural disasters such as earthquakes or storms; blockages; embargoes; riots; governmental acts or orders; terrorism or warfare; or pandemics.

In the event of Force Majeure, CNM.COM will notify you in writing of its occurrence. CNM.COM reserves the right (but is not obligated) to cancel or terminate the agreement related to the Services due to Force Majeure, without incurring any costs or payments to you.

Titles and headings; independent covenants; severability

The titles and headings in this Agreement are provided solely for convenience and reference and should not be used to construe or interpret the terms of the Agreement. Each covenant and agreement in this document is to be considered a separate and independent provision. Should any court of competent jurisdiction determine that any part of this Agreement is illegal, invalid, or otherwise unenforceable, the remaining provisions will remain in effect and enforceable to the fullest extent allowed by law.

English language controls

This Agreement, along with all referenced policies and applicable Service Agreements, is executed in English. If a translated version is required to be legally binding, (i) both the English and translated versions will hold equal validity, (ii) each party confirms that it has reviewed both versions and finds them substantially identical in all significant respects, and (iii) in case of any discrepancies between the two versions, the translated version may take precedence, provided that the intent of the parties is fully considered.
